Please read these Terms carefully before creating an account, uploading material, purchasing Credits or using any Greenroom service.

By creating an account or using a paid Greenroom service, you agree to these Terms.

Nothing in these Terms excludes or limits any rights which a consumer cannot lawfully waive.

1. About The Greenroom

1.1 The Greenroom is an online creative-development platform principally intended to provide writers with script and other creative-work feedback, analysis and coverage.

1.2 Depending on the features available at the relevant time, Greenroom services may include:

  • a.Standard, Deep or other forms of coverage and analysis;
  • b.automated scoring, assessments and development feedback;
  • c.secure storage of creative works and related material;
  • d.registration and timestamping of submitted works;
  • e.registration certificates and related evidential records;
  • f.draft and revision tracking;
  • g.co-writer and contributor records;
  • h.project and chain-of-title records;
  • i.professional profiles, directories, messaging or community functions;
  • j.feedback, benchmarking and development tools; and
  • k.other writer, development or industry services introduced from time to time.

1.3 The availability, scope and price of particular features may change. The description and price displayed when you order a service form part of your contract for that purchase.

1.4 The Greenroom is a development tool. Unless expressly stated otherwise for a particular service, Greenroom does not act as your literary agent, lawyer, accountant, producer, manager, representative, publisher or production company.

2. Eligibility and users under 18

2.1 You must be at least 13 years old to create or use a Greenroom account.

2.2 You must not create an account if you are under 13.

2.3 If you are aged 13 to 17:

  • a.you should use Greenroom with the knowledge and permission of a parent or legal guardian;
  • b.you must ask a parent or guardian to help you if you do not understand these Terms;
  • c.any purchase must be made by, or with the permission of, a parent, guardian or other person legally entitled to authorise the payment; and
  • d.we may take reasonable steps to verify your age or, where appropriate, the authority of the adult authorising a purchase or other significant action.

2.4 A parent or guardian permitting a person under 18 to use Greenroom should review these Terms and Greenroom’s Privacy Policy with them.

2.5 We may introduce additional age-assurance or child-safety measures where reasonably required by law, regulation, our technology providers or our assessment of users’ safety.

3. Your account

3.1 Some Greenroom services require an account.

3.2 You must provide accurate and current information when creating and maintaining your account.

3.3 You are responsible for maintaining the confidentiality and security of your login credentials.

3.4 You must notify us promptly if you believe your account has been accessed without permission.

3.5 You must not:

  • a.create an account using a false identity for the purpose of deceiving another person;
  • b.impersonate another person;
  • c.transfer or sell your account;
  • d.permit another person to use your account in a way that circumvents these Terms; or
  • e.create additional accounts to evade a suspension, restriction, purchase limit or other legitimate control.

3.6 We may offer sign-in through third-party identity providers such as Google. Your use of such a provider is also governed by its applicable terms and privacy practices.

4. The coverage and feedback service

4.1 Greenroom coverage and feedback may be generated wholly or partly using artificial intelligence.

4.2 Unless a service is expressly described as being performed by a human reader, you should assume that analysis, scoring, recommendations and written coverage are generated by automated systems.

4.3 A Greenroom assessment represents an analytical interpretation of the material. Creative assessment is inherently subjective.

4.4 We do not guarantee that:

  • a.another reader, producer, studio, broadcaster, publisher, agent, financier or industry professional will agree with a Greenroom assessment;
  • b.a particular score or recommendation will result in representation, financing, production, publication, employment, sale or commercial success;
  • c.revisions made in response to Greenroom feedback will improve a work;
  • d.an AI-generated assessment will be free from factual errors, omissions, inconsistencies or mistaken interpretations; or
  • e.a work will receive the same assessment if analysed under a materially different model, methodology, coverage specification or version of the service.

4.5 You remain responsible for your creative and commercial decisions.

4.6 Greenroom may use different analytical models, specifications, prompts, scoring systems or technical providers over time. Where the version of a report or analytical system is material, Greenroom may record that version as part of the relevant coverage record.

5. Use of artificial intelligence

5.1 To provide AI-based coverage, Greenroom may securely transmit all or part of an uploaded work and necessary contextual information to an artificial-intelligence service provider acting on our behalf.

5.2 Greenroom currently uses commercial AI infrastructure including services supplied by Anthropic. We may replace or supplement providers where reasonably necessary, provided that appropriate contractual, privacy and security arrangements are in place.

5.3 We do not sell your script or creative work to an AI provider.

5.4 Greenroom’s policy is not to use customer scripts to train general-purpose generative AI models, and not to opt customer scripts into an AI provider’s model-training programme without an appropriate legal basis and, where required, the user’s explicit agreement.

5.5 Further information about AI processing is set out in our Privacy Policy.

6. Your creative work and copyright

6.1 You retain ownership of your creative work.

6.2 Uploading a screenplay, manuscript, treatment, pitch document, supporting file or other creative material to Greenroom does not transfer copyright or ownership of that material to Greenroom.

6.3 By uploading material, you grant Greenroom a limited, non-exclusive, worldwide licence to host, copy, convert, transmit, analyse, process and otherwise use that material solely to the extent reasonably necessary to:

  • a.provide the services you request;
  • b.store and display the material within your account or authorised shared project;
  • c.generate coverage, scores, reports and registration records;
  • d.maintain integrity, security, backups and evidential records;
  • e.permit authorised collaborators to access shared material;
  • f.investigate technical failures, security incidents or support requests; and
  • g.comply with law and enforce these Terms.

6.4 This licence does not give Greenroom the right to exploit, publish, sell, adapt or commercially develop your creative work for its own independent purposes.

6.5 The licence continues for as long as reasonably necessary to provide the relevant service and to satisfy any lawful retention, shared-project, registration, evidential, security or legal obligation described in these Terms and the Privacy Policy.

6.6 You must have the legal right to upload the material you submit.

6.7 If you upload material owned wholly or partly by somebody else, you confirm that you have sufficient authority or permission to do so.

6.8 You remain responsible for obtaining any necessary rights relating to underlying works, adaptations, life rights, trademarks, third-party material or other protected content.

7. Registration of creative works

7.1 Greenroom may offer a service that creates a timestamped registration record for a particular version of an uploaded work.

7.2 A Greenroom registration is intended to provide an evidential record showing information held by Greenroom about a particular submission at a particular time.

7.3 A Greenroom registration is not registration of copyright with a government authority and is not a legal determination of authorship, copyright ownership or chain of title.

7.4 Greenroom does not adjudicate competing claims to authorship or ownership.

7.5 A registration certificate or registration number must not be represented as a guarantee by Greenroom that:

  • a.the registered person created the work;
  • b.the registered person owns copyright;
  • c.the work does not infringe another person’s rights; or
  • d.the registered chain of contributors is legally complete.

7.6 Registration records are designed to preserve historical integrity. Once a registration has been finalised, the original historical event will ordinarily not be silently rewritten or backdated.

7.7 Where a legitimate correction, dispute, statutory data-protection right, court order or other lawful requirement applies, Greenroom may:

  • a.restrict access to a record;
  • b.annotate the record;
  • c.record a correction as a later event;
  • d.redact personal information where lawful and appropriate; or
  • e.delete information where Greenroom is legally required or entitled to do so.

7.8 The existence of a later correction does not alter what the original record showed at the time it was created.

7.9 A finalised Greenroom registration has an initial registration term of 10 years from the date of finalisation. Subject to clauses 7.11, 7.12 and 31 and to applicable law, Greenroom will retain the timestamped registration record, Registration Number, fingerprint or hash, Certificate and associated historical registration information throughout that term.

7.10 Where Greenroom remains operational, registration holders will be given an opportunity to renew or extend a registration before the end of its 10-year term. Any renewal period, process and terms then available will be stated at the time of renewal.

7.11 If Greenroom permanently ceases operating, becomes insolvent, undergoes a sale or restructuring, or another event materially threatens continued retention of registration records, Greenroom will, where reasonably practicable and lawful, take reasonable steps to preserve, transfer to an appropriate successor or custodian, or make available for export the relevant evidential registration records before the service becomes unavailable.

7.12 Greenroom cannot guarantee continued availability of a registration record where preservation is prevented by insolvency proceedings, law, a binding court or regulatory requirement, catastrophic data loss despite reasonable technical and organisational measures, or circumstances genuinely outside Greenroom’s reasonable control. Nothing in this clause excludes or limits any liability or statutory right which cannot lawfully be excluded or limited.

8. Co-writers and contributors

8.1 Where a project has more than one writer or contributor, Greenroom may allow the submitting user to identify co-writers and provide their names and contact details.

8.2 Before registering a work with co-writers, you must carefully check the identities entered.

8.3 By naming another person as a co-writer or contributor, you confirm that:

  • a.the information you provide is accurate to the best of your knowledge;
  • b.you have a legitimate reason and sufficient authority to provide their information to Greenroom;
  • c.you are not deliberately creating a false authorship or ownership record; and
  • d.where reasonably required, you will inform them that their details have been provided to Greenroom.

8.4 Greenroom may contact a named co-writer to notify them of the registration or invite them to claim, confirm or respond to a contributor relationship.

8.5 A co-writer relationship recorded at registration forms part of the historical registration evidence and will not ordinarily be erased merely because the contributors subsequently disagree.

8.6 If an authorship dispute arises, Greenroom may preserve the existing record while recording a dispute, correction, restriction or later event.

8.7 Greenroom does not decide which party to an authorship dispute is legally correct. Parties should obtain independent legal advice where necessary.

9. Shared projects and deletion

9.1 One contributor cannot use account deletion or project deletion to destroy material or evidential records in which another authorised contributor has a legitimate continuing interest.

9.2 Where you are the sole contributor to a project, you may request deletion subject to Greenroom’s lawful retention obligations.

9.3 Where other contributors remain attached to a shared project:

  • a.your account access may be closed;
  • b.your unnecessary personal contact information may be removed or anonymised where appropriate;
  • c.the shared work may remain available to the remaining authorised contributors; and
  • d.historical contributor and registration information may be retained where there is an overriding contractual, evidential, legal or legitimate-interest reason.

9.4 Where all relevant contributors request deletion, Greenroom may conduct a deletion and retention review before removing the shared project.

9.5 Account closure and exercise of a statutory data-protection right are related but legally distinct processes. Closing an account does not automatically require Greenroom to erase every associated record.

10. Greenroom’s intellectual property

10.1 Except for user-owned material, all intellectual-property rights in Greenroom and its underlying systems belong to Greenroom or its licensors.

10.2 This includes, where applicable:

  • a.the Greenroom name, branding and visual identity;
  • b.website and application design;
  • c.software and source code;
  • d.database structure;
  • e.coverage methodologies and specifications;
  • f.prompts, instructions, analytical frameworks and system architecture;
  • g.proprietary scoring systems;
  • h.documentation; and
  • i.Greenroom-created text, graphics and other content.

10.3 You may use a coverage report generated for your own work for your own creative, professional and commercial development purposes.

10.4 You may share your report with collaborators, advisers, representatives, producers, financiers, publishers or others in connection with the development or exploitation of your work.

10.5 You may not, without our written permission:

  • a.resell Greenroom coverage as a standalone service;
  • b.systematically reproduce reports to create a competing coverage service;
  • c.falsely represent automated Greenroom coverage as having been written by a human reader;
  • d.extract or attempt to extract Greenroom’s hidden system prompts, proprietary methodology or source code; or
  • e.use Greenroom content or systems to train or build a substantially competing service in breach of applicable law or these Terms.

11. Credits

11.1 Greenroom may use a credit-based payment system (“Credits”).

11.2 Credits are units that may be applied to eligible Greenroom services at the rate displayed when the service is ordered.

11.3 Credits:

  • a.are not money, electronic money or cryptocurrency;
  • b.have no cash value except where a refund is required by law or expressly offered by Greenroom;
  • c.cannot normally be transferred, traded or resold;
  • d.do not earn interest; and
  • e.cannot be used outside Greenroom.

11.4 The number of Credits required for a service may depend on the format, length, coverage level or other characteristics of the work.

11.5 Greenroom may change future Credit prices and future Credit costs for services. A change will not retrospectively alter a completed purchase.

11.6 Any expiry or special restriction applying to a particular Credit package must be clearly disclosed before purchase. We will not retrospectively impose a new expiry on Credits already purchased unless required by law or expressly agreed with you.

11.7 Promotional or complimentary Credits may be subject to separate conditions disclosed when issued.

12. Prices, VAT and payment

12.1 Current prices are displayed on Greenroom before purchase.

12.2 Greenroom may display prices in US dollars or other currencies.

12.3 Applicable VAT, taxes or other mandatory charges will be dealt with in accordance with applicable law and displayed or documented where required.

12.4 Payments are processed by third-party payment providers including Stripe.

12.5 Greenroom does not ordinarily receive or store your full payment-card number.

12.6 You authorise our payment provider to charge the payment method you select for the amount displayed at checkout.

12.7 You must use a payment method which you are authorised to use.

12.8 If a pricing or technical error is obvious, Greenroom may correct it. If this affects an order already placed, we will act fairly and, where appropriate, offer the option to cancel rather than simply impose an increased price retrospectively.

13. Consumer cancellation rights

13.1 If you are acting wholly or mainly outside your trade, business, craft or profession, you are a consumer and may have statutory cancellation rights.

13.2 Nothing in these Terms removes those rights.

13.3 In particular, a consumer purchasing services or digital content online may have a statutory cancellation period.

13.4 Greenroom services are often designed to begin immediately. Where you ask us to begin a service before the end of an applicable cancellation period, we may require you expressly to request immediate performance.

13.5 Where legally required, we will also ask you to acknowledge the consequences for your cancellation rights.

13.6 Depending on the legal classification and stage of the service:

  • a.you may lose the statutory right to cancel once a requested service has been fully performed, where the law permits and the necessary acknowledgement has been given;
  • b.if you cancel after performance has begun but before completion, you may be required to pay a proportionate amount for the service already supplied, where the law permits; or
  • c.where the purchase is legally treated as digital content supplied immediately, your cancellation right may be affected once supply begins if you gave the required express consent and acknowledgement.

13.7 Any checkout wording dealing with immediate performance forms part of these Terms.

14. Refunds and failed services

14.1 Your statutory rights are unaffected by this section.

14.2 We do not promise an unconditional change-of-mind refund once a service has been validly supplied where applicable cancellation rights have ended.

14.3 However, if Greenroom:

  • a.fails to provide a purchased service;
  • b.charges you incorrectly;
  • c.experiences a terminal processing failure for which no coverage is supplied;
  • d.supplies a service which does not conform to your applicable statutory rights; or
  • e.is otherwise legally required to provide a remedy,

we will provide the remedy required by law and may, as appropriate, rerun the service, restore Credits, replace the report, reduce the price or issue a monetary refund.

14.4 If a processing failure automatically restores Credits to your account, that restoration may constitute the remedy for the failed Credit transaction unless a different remedy is legally required.

14.5 Contact hello@the-greenroom.app if you believe a payment, Credit balance or coverage order is incorrect.

15. Subscriptions

15.1 Greenroom may offer subscription products now or in the future.

15.2 The price, billing frequency, minimum commitment, renewal terms and cancellation method for a subscription will be displayed before purchase.

15.3 Unless a fixed minimum term is expressly stated, a recurring subscription may be cancelled for future billing using the cancellation method provided by Greenroom or its payment provider.

15.4 Cancellation normally prevents future renewal and does not retrospectively cancel services already properly supplied.

15.5 Where legislation gives consumers cooling-off, renewal-reminder, easy-cancellation or other subscription rights, those statutory rights apply regardless of anything inconsistent in these Terms.

16. Delivery times

16.1 Any quoted processing or delivery time is an estimate unless we expressly state that it is guaranteed.

16.2 AI processing times may be affected by:

  • a.work length and file size;
  • b.demand;
  • c.third-party AI provider availability;
  • d.payment processing;
  • e.internet or hosting failures;
  • f.maintenance;
  • g.automated retries; or
  • h.technical faults outside Greenroom’s reasonable control.

16.3 If a material delay occurs, we will use reasonable efforts to complete the service or provide an appropriate remedy.

17. Acceptable use

17.1 You must use Greenroom lawfully.

17.2 You must not use Greenroom to:

  • a.infringe copyright, privacy, confidentiality, data-protection or other rights;
  • b.upload material you have no right to submit;
  • c.distribute malware, malicious code or harmful files;
  • d.interfere with Greenroom’s infrastructure or security;
  • e.gain unauthorised access to another person’s account or material;
  • f.circumvent payment, Credit, access or usage controls;
  • g.scrape, harvest or systematically extract Greenroom data without permission;
  • h.reverse-engineer Greenroom except to the limited extent such restriction is prohibited by law;
  • i.extract confidential system prompts or security information;
  • j.overload Greenroom through abusive automated requests;
  • k.falsify registrations, identities, authorship or chain-of-title records;
  • l.harass, threaten, abuse or unlawfully discriminate against another user;
  • m.use Greenroom for fraud or other criminal conduct;
  • n.upload or generate unlawful child sexual abuse or exploitation material;
  • o.deliberately use the service in breach of a binding law, court order or applicable AI-provider safety restriction; or
  • p.facilitate conduct which would itself be unlawful.

17.3 We may investigate suspected abuse and take proportionate protective action.

18. Profiles, community and messaging

18.1 Greenroom may offer optional professional-profile, member-directory, community, messaging, leaderboard or public-sharing features.

18.2 You are responsible for information you choose to make visible through those features.

18.3 Privacy and visibility controls do not alter information contained in an evidential registration record where different rules apply.

18.4 You must not use community features to send spam, harass users, impersonate another person or unlawfully collect personal information.

18.5 Greenroom may moderate or remove public or shared content where reasonably necessary to enforce these Terms, protect users or comply with law.

19. Feedback about Greenroom

19.1 If you voluntarily send us ideas, suggestions or feedback specifically about Greenroom itself, we may use that feedback to improve the service without payment to you.

19.2 This clause does not transfer ownership of your screenplay, manuscript, story, characters or other submitted creative work.

20. Confidentiality, script access and GreenRoom NDA

20.1 Scripts and creative works uploaded privately are not made public merely because they are uploaded.

20.2 We will restrict access to private works to:

  • a.the account holder;
  • b.authorised collaborators;
  • c.Greenroom personnel or contractors who reasonably require access for support, security or operation;
  • d.service providers processing the material on our behalf; and
  • e.persons to whom disclosure is legally required.

20.3 We will use reasonable technical and organisational measures to protect private material, but no online storage or transmission system can be guaranteed completely secure.

20.4 Where Greenroom offers a mutual NDA or other agreement template between users, the template is provided only as a convenience. Greenroom is not a party to that agreement, does not provide legal advice, does not guarantee that the agreement is suitable or enforceable in any jurisdiction, and does not verify the authority of a person who signs it.

20.5 Greenroom may retain operational records relating to an agreement or script exchange, including the version of the agreement shown to the parties, identity details supplied for that agreement, acceptance records, timestamps, electronic-signature records, document hashes, access records and the final signed document, where reasonably necessary for operation, security, evidence, dispute resolution or legal compliance and subject to our Privacy Policy.

20.6 If a dispute arises between users in connection with an agreement, submission or script exchange, Greenroom has no obligation to act for either party, fund the dispute or voluntarily provide personnel as witnesses or representatives. Greenroom may nevertheless preserve or provide records where required by law or where it reasonably chooses to assist.

20.7 Where a user asks Greenroom voluntarily to provide personnel, documents, statements, testimony, technical assistance or attendance in connection with that user’s dispute, Greenroom may require advance payment or reimbursement of its reasonable documented costs, including staff time, professional fees, preparation time, travel, accommodation and subsistence. For voluntary physical attendance outside the United Kingdom, Greenroom may require reasonable travel arrangements appropriate to the journey and working requirements, which may include business-class air travel for long-haul international travel.

20.8 Nothing in clause 20.7 overrides a court order, witness summons, subpoena, applicable procedural rule or any other legal obligation. Where attendance or evidence is legally compelled, costs and expenses will be dealt with in accordance with the applicable law, court rules and any order of the relevant court or authority.

21. Third-party services and links

21.1 Greenroom depends on third-party infrastructure and service providers.

21.2 These may include hosting, authentication, storage, AI processing, payment, email and identity providers.

21.3 Some Greenroom pages may link to external websites or services. We are not responsible for the content or separate practices of websites we do not control.

21.4 Your direct use of a third-party service may also be governed by that third party’s terms.

22. Suspension and termination

22.1 We may temporarily restrict or suspend an account where reasonably necessary because of:

  • a.a serious or repeated breach of these Terms;
  • b.suspected fraud;
  • c.security risk;
  • d.unlawful activity;
  • e.misuse of Greenroom or an AI provider;
  • f.a legal or regulatory requirement; or
  • g.conduct creating material harm to Greenroom or another user.

22.2 Where reasonable, we will explain the reason and give you an opportunity to resolve the issue.

22.3 Immediate restriction may be necessary where there is a serious security, legal or safety risk.

22.4 Suspension does not authorise us to falsify or erase a historical registration record.

23. Closing your account

23.1 You may request closure of your account.

23.2 Account closure terminates future access to the account but does not necessarily erase all information immediately.

23.3 We may retain information after closure where reasonably necessary for:

  • a.legal or regulatory obligations;
  • b.tax and accounting records;
  • c.fraud prevention and security;
  • d.dispute resolution and legal claims;
  • e.protection of other co-writers;
  • f.registration and chain-of-title evidence; or
  • g.another lawful purpose described in our Privacy Policy.

23.4 Where continued identification is unnecessary, we may anonymise or minimise retained records.

23.5 Our Privacy Policy explains how account closure interacts with statutory data-protection rights.

24. Consumer statutory rights

24.1 If you are a consumer, Greenroom services will be provided subject to the consumer protections applicable to your contract.

24.2 These Terms do not exclude duties which cannot lawfully be excluded, including applicable duties concerning services supplied with reasonable care and skill and applicable rights relating to digital content.

24.3 Nothing in these Terms limits a statutory remedy to which you are entitled.

25. Limitations of Greenroom coverage

25.1 Coverage, scores, comments and recommendations are opinions and development aids.

25.2 They are not:

  • a.legal advice;
  • b.financial advice;
  • c.investment advice;
  • d.a valuation of intellectual property;
  • e.an appraisal of copyright ownership;
  • f.an offer of representation;
  • g.an employment decision;
  • h.a promise of industry access; or
  • i.a guarantee of commercial success.

25.3 You should obtain appropriately qualified professional advice where your decision requires it.

26. Our liability to consumers

26.1 Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

  • a.death or personal injury caused by negligence;
  • b.fraud or fraudulent misrepresentation; or
  • c.any liability which cannot lawfully be excluded or limited.

26.2 If you are a consumer, we are responsible for losses which are a reasonably foreseeable result of our breach of these Terms or failure to use reasonable care and skill.

26.3 We are not responsible for losses which were not reasonably foreseeable when the contract was made.

26.4 We are not responsible for a creative or commercial decision merely because you made that decision after reading a Greenroom assessment, except to the extent liability arises under rights which cannot lawfully be excluded.

26.5 We do not exclude liability for damage to your device or digital content where applicable consumer law makes us responsible.

27. Business users

27.1 This section applies only where you use Greenroom wholly or mainly for purposes relating to your trade, business, craft or profession.

27.2 To the fullest extent permitted by law, we will not be liable to a Business User for:

  • a.loss of profit;
  • b.loss of revenue;
  • c.loss of business;
  • d.loss of anticipated savings;
  • e.loss of opportunity;
  • f.loss of goodwill; or
  • g.indirect or consequential loss,

except where such exclusion is prohibited by law.

27.3 Subject to liabilities which cannot lawfully be limited, our aggregate liability to a Business User arising out of Greenroom in any twelve-month period will not exceed the greater of:

  • a.the amount that Business User paid Greenroom during the twelve months preceding the event giving rise to the claim; and
  • b.£100.

27.4 A Business User will be responsible for third-party claims and reasonable losses caused by that Business User knowingly uploading material without the required rights or deliberately providing false contributor or registration information.

27.5 This section does not apply to consumers.

28. Service availability and changes

28.1 We may maintain, update, repair or alter Greenroom.

28.2 We do not guarantee uninterrupted availability.

28.3 We may discontinue a feature where reasonably necessary.

28.4 If discontinuation materially affects a paid service already purchased, we will provide an appropriate remedy.

28.5 Where possible, we will give reasonable notice of a material change affecting stored user material or an ongoing paid entitlement.

28.6 If a material service change or discontinuation affects registration records within their 10-year registration term, clauses 7.9 to 7.12 apply.

29. Changes to these Terms

29.1 We may amend these Terms to reflect:

  • a.changes in law;
  • b.new or altered Greenroom features;
  • c.changes in technology or providers;
  • d.security requirements; or
  • e.reasonable changes to our business.

29.2 The current version will display its effective date.

29.3 If a change materially affects an ongoing contract, account or subscription, we will provide reasonable notice where required.

29.4 A change to these Terms will not retrospectively deprive you of rights relating to a completed purchase.

30. Privacy

30.1 Our processing of personal information is described in the Greenroom Privacy Policy.

30.2 The Privacy Policy is a notice explaining how personal information is used. Agreeing to these Terms does not remove any data-protection right or replace any consent which must separately be obtained by law.

31. Events outside our reasonable control

31.1 We are not responsible for delay or failure caused by an event genuinely outside our reasonable control, provided that we take reasonable steps to minimise its effect.

31.2 This may include major internet or cloud outages, failure of a third-party infrastructure provider, natural disaster, widespread cyber incident, government restriction or similar event.

31.3 This clause does not remove any statutory consumer remedy that still applies.

32. Complaints

32.1 If you have a complaint about Greenroom, contact hello@the-greenroom.app.

32.2 Please provide enough information for us to identify the relevant account, order or issue.

32.3 Complaints about our handling of personal information are dealt with under the complaints procedure described in our Privacy Policy.

33. Governing law and jurisdiction

33.1 These Terms are governed by the law of England and Wales.

33.2 If you are a consumer, this does not deprive you of mandatory protections provided by the law of the country in which you habitually reside where those protections apply.

33.3 Consumers may bring proceedings in a court which has jurisdiction under applicable consumer law.

33.4 If you are a Business User, the courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms.

34. General provisions

34.1 If any provision of these Terms is found unlawful or unenforceable, the remaining provisions remain effective.

34.2 A delay in enforcing a right does not waive that right.

34.3 We may transfer our rights and obligations to another organisation in connection with a restructuring, sale or transfer of the Greenroom business, provided this does not materially reduce a consumer’s contractual rights.

34.4 You may not transfer your contractual rights where doing so would materially interfere with Greenroom’s operation, except where the law gives you that right or we agree.

34.5 Nothing in these Terms creates a partnership, employment relationship, fiduciary relationship or agency between you and Greenroom.

34.6 These Terms, together with the information specifically incorporated into a purchase and any applicable service-specific terms, constitute the contract governing your use of Greenroom.
